Confirm your producer lock-in
A producer-selection step exists but isn't confirmed yet. Validate it directly with the producer — a signed agreement, not a verbal understanding — before this plan is campaign-ready.
Atención
Subcontractors can re-subcontract your work
A producer you contract with may re-subcontract part or all of your build to a third party you never vetted — you lose control of quality and IP exposure when that happens. Get a no-subcontracting or subcontractor-approval clause in your producer agreement, or keep the step in-house.
Acción requerida
Document your priority date
Before you show your design to anyone outside your own team, document it — dated sketches, a provisional patent filing, or a trade-secret log. The US is first-to-file for patents; an undocumented idea has no priority date to point to later.
Info
Register your trademark
Register your product/brand name and logo as a trademark before the campaign goes public — it's harder and costlier to clean up after a launch than before one.
Acción requerida
File first-to-file IP protection before manufacture
China is a first-to-file jurisdiction — whoever files first owns the right there, regardless of who invented it first. File a Chinese design/utility filing (or a PCT application designating China) before you send specs or samples to any producer.
Acción requerida
Use an NNN agreement, not an NDA
A US-style NDA is generally unenforceable in China and does not cover non-use or non-circumvention. Use an NNN agreement (Non-disclosure, Non-use, Non-circumvention) drafted for Chinese jurisdiction and enforcement before sharing anything with a Chinese producer.
Acción requerida
S-corp quarterly taxes and payroll
S-corp: track federal estimated-tax due dates — Apr 15, Jun 15, Sep 15, Jan 15 — AND set up reasonable-salary payroll with its own withholding/deposit schedule (payroll compliance is stricter than plain LLC pass-through). Confirm both schedules with your accountant.
Info
Consider asset protection beyond a basic LLC
A basic LLC covers ordinary liability separation, but a campaign that goes wrong can outrun it — consider layered asset protection (e.g. a trust structure) once you're past idea stage.
